Throughout these Terms of Use, "EliteVocab" means EliteVocab Academy, Inc., its parent company, and any subsidiaries.

 

The Products are the property of EliteVocab.

 

EliteVocab may, from time to time, update these Terms of Use. Any changes will be updated on the Terms of Use page on the EliteVocab website and will be effective from the date of posting.

 

Your use of the Products means you accept these Terms of Use and creates an agreement between you and EliteVocab. If any changes are made to these Terms of Use, your continued use of the Products constitutes acceptance of those changes. If you do not agree with the Terms of Use, please do not use the Products.

EliteVocab owns and controls all text, graphics interfaces, trademarks, logos, computer code, layouts, images, photographs, icons, information, and names across the Products (collectively, "Content"). The arrangement, design, and structure of the Content are also owned and controlled by EliteVocab. EliteVocab’s Products and Content are protected by copyright, trademark, unfair competition, passing off, and intellectual property laws. Nothing contained in these terms shall be construed as conferring any right or license to use any of the Content at any time.

 

Content across the Products may be subject to change without notice. If EliteVocab believes a change it enacts may materially impact your user experience, you will be notified via the contact information you have provided.

 

EliteVocab grants you a non-transferable, non-exclusive, personal license to use the Products, providing you comply with these Terms of Use and any other guides EliteVocab may issue.

 

You may not copy, reproduce, republish, download, post, broadcast, transmit, make available to the public, or use the Products or Content in any other way except for your own personal and non-commercial use. You may not adapt, alter, or create any derivative work from the Products or Content other than for your own personal and non-commercial use.

 

You may not use any device, program, or algorithm, either automatic or manual, to access the Products or obtain any of the Content. You may not test, scan, or breach any security or authentication systems on the Products.

 

You may use the Products only for lawful purposes, and you may not use the Products to enable the performance of any illegal activity. You may not use the Products in any way that may infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Products. Prohibited behavior includes but is not limited to:

EliteVocab provides a members' forum as a platform for members to comment on lessons, ask questions and interact with others. You must use the forum in a way that is respectful of others. Prohibited behavior includes but is not limited to:

●  posting offensive, illegal, or copyright-infringing material;

●  making posts that are racist, discriminatory, abusive, or sexually obscene;

●  posting spamming, advertising, or self-promoting content;

●  posting personal information (your own or someone else's) or requesting personal information from another person; and

●  belittling, mocking, or downgrading others.

EliteVocab shall not be liable to you for loss (whether such losses were foreseen, foreseeable, known, or otherwise), including loss of data, loss of revenue or anticipated revenue, loss of business, loss of opportunity, loss of goodwill, or injury to reputation.

Further, EliteVocab shall not be liable to you for damages, including indirect, consequential, exemplary, punitive, or any other damages at any time.

You understand that you are using any and all information available on or through this site and our platform at your own risk. You agree that our company is not responsible for the success or failure of your decisions relating to any information presented by EliteVocab or our company’s products or services. You also acknowledge and agree that results vary.

The Products and Content are provided on an "as-is" basis. EliteVocab makes no representations and disclaims, waives, and renounces all warranties, either express or implied, including any warranties as to fitness for a particular purpose, non-infringement, compatibility, accuracy, or satisfactory quality, and any warranties that the Products or Content will be uninterrupted or free of errors, bugs, viruses, or defects of any kind. The aforementioned disclaimer will apply to any injuries, damages, or liability as a result of any failure of performance, error, omission, interruption, or delay, whether for tort, breach of contract, or any other cause of action.

EliteVocab sells a variety of Services, some of which are on a subscription basis that include their own “Billing cycle”. Billing cycles are typically monthly or annually, depending on which terms you choose for the Services. Payment will be charged to your chosen payment method at purchase at the start of each new Billing cycle. Your Service subscription will automatically renew at the end of each Billing cycle unless you cancel your account.

We (through our third-party payment processors) will keep your payment information on file. We do not access this information except through provided programmatic methods by the provider(s). When your details change or are due to expire, we may obtain or receive from your payment provider updated payment details, including your card number, expiration date, and CVV (or equivalent). This enables your subscription charges to continue on schedule so you can maintain access to the Service. You authorize us to continue to charge your credit card using the updated information. If a payment is not successfully authorized due to expiration, insufficient funds, or otherwise, we may suspend or terminate your subscription until applicable changes have occurred. You also agree that we may charge you via your payment method on file if you elect to restart your subscription.

Account and Security

When purchasing a right to use EliteVocab Products, you will be required to create an account. It is your responsibility to maintain the security and confidentiality of the information that you use for your account, such as your password. EliteVocab will not be liable for any activity that may occur under your account as a result of your failure to maintain the confidentiality of your information.

 

You may be held liable in the event that EliteVocab sustains loss or damage as a result of another individual using your account due to your failure to keep your account information secure.

These Terms of Use shall be governed by and interpreted in accordance with the state laws of Wyoming, USA. Should any of these terms be determined illegal, invalid, or unenforceable according to the laws of any other state or country, then that term shall be severed and deleted from these terms. The remaining terms shall survive, remain in full force and effect, and continue to be binding and enforceable.

In the event that you violate these Terms of Use, EliteVocab may terminate your access to the Products, Content, and your account.

In the event that EliteVocab takes legal action against you as a result of your violation of these Terms of Use, EliteVocab will be entitled to recover from you any costs associated with pursuing such action.

In the event of any dispute between EliteVocab and you arising in connection with your use of the Products, both parties shall attempt in good faith to resolve the dispute, and you agree to first contact us at legals@elitevocab.com and attempt to resolve the dispute with us informally.

 

In the unlikely event that EliteVocab has not been able to resolve a dispute it has with you after sixty (60) days, either party may proceed to mediation. If the dispute cannot be satisfactorily resolved through mediation, then either EliteVocab or you shall be free to pursue any right or remedy available under applicable law.

 

The mediation will be conducted in Los Angeles, California unless you and EliteVocab agree otherwise. 

 

WITH RESPECT TO ALL PERSONS AND ENTITIES, REGARDLESS OF WHETHER THEY HAVE OBTAINED OR USED THE WEBSITE OR PRODUCTS FOR PERSONAL, COMMERCIAL OR OTHER PURPOSES, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING. THIS WAIVER APPLIES TO CLASS ARBITRATION, AND, UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. YOU AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND ELITEVOCAB ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND.
